董事会战略介入模式研究——基于董事会能力的分析

本文立足于企业战略管理与公司治理的理论发展,审视了董事会的战略角色与职能。首先,本文在不同理论视角下分析了具有不同战略介入程度和独立性的董事会在企业的战略管理过程中承担的角色,其次通过整合资源依赖理论以及资源基础观的动态能力视角,提出以董事会能力作为董事会介入企业战略管理的来源来探讨董事会的战略介入问题,再者构建了董事会战略介入模式,并探讨了不同战略介入程度下的董事会角色和职能以及董事会能力在介入模式中所发挥的作用,最后对未来研究方向进行了展望,以期为国内学者深入开展相关研究提供启示。
