摘要
董事会构成的性别多元化是公司治理制度安排对个体认知局限性、公司治理伦理以及外部制度环境的一个动态反应过程。本文以女性董事为主线,围绕女性董事的存在特征及其决定因素,女性董事与公司绩效的关系以及女性董事对组织激励、董事会运作和公司利益相关者的影响进行文献梳理与述评,以期为在我国公司治理制度安排下发挥女性董事的作用并进行相关研究提供借鉴和启示。
